1 About Us

The "Nubia Account" and related technologies and functions (collectively referred to as "this Service") are operated by Nubia Technology Co. Ltd. (Hereinafter referred to as "Nubia" or "our"). "You" and "User" in this Agreement are any individuals who use and/or access this Service.

2 Purpose

This User Agreement and other service terms, rules or prompts released by Nubia for this service (hereinafter collectively referred to as "this agreement") are the terms under which we provide this service for your use and access. Through this Agreement, you will learn about the way this service is provided to you, the activities allowed and prohibited by this service, the measures taken to respond to problems, and other important information. Please read this Agreement carefully, especially the terms involving exemption or limitation of liability, legal application, and dispute resolution terms.

If you agree to this Agreement or use this Service as prompted on the page, you shall be deemed to have entered into a legally binding contract with Nubia, and Nubia will perform the corresponding contractual obligations in accordance with this Agreement. If YOU DO NOT AGREE TO THIS AGREEMENT, DO NOT USE THIS SERVICE.

You understand that the products and services provided by Nubia to users (collectively referred to as "Nubia Service") are very broad, and therefore some agreements or terms related to specific Nubia Services (collectively referred to as "Nubia Service Terms") may apply to you. The applicable Terms of Service will be provided in conjunction with the specific Nubia Service and will become part of your agreement with Nubia upon your agreement to the Terms of Service or use of these Nubia Services.

Should you have any questions in relation to this Agreement, you may contact us via the contact information in the section "Contact Us".

3 Requirements for Using this Service

You expressly represent and warrant that you have sufficient legal right or authority to execute and enforce this Agreement; Your execution and performance of this Agreement will not create a conflict or result in a breach of any other agreements or arrangements to which you are bound.

If you are a minor (under the age of 18), please read this Agreement with your parents or other guardians to ensure that they have a clear understanding of this Agreement before deciding to use this Service, and do not use this Service until you have obtained the consent of your parents or other guardians. In particular, if you are a child (minor under the age of 14), please notify your parents or other guardians to read this agreement carefully before using this service, and create a Nubia account after your parents or other guardians agree to use this service. At the same time, we recommend that parents or other guardians exercise reasonable supervision and guidance over your child's use of the Internet, mobile phones, and other devices.

4 Access to the Service

Nubia grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service in accordance with this Agreement.

5 This Service

This service provides you with account numbers and related features (described in Chapters 5.1 and 5.2). Additional functionality will be provided to you upon your consent (see Chapter 5.3).

5.1 Account Functions

As the pass certificate of the Nubia service, the Nubia Account provides the same user experience and security authentication when you use the Nubia Application Market, Nubia Cloud, Nubia Game Center, and Nubia Theme services, as well as the Nubia terminal and related partner services, including account registration and login, account security and risk control, real-name authentication, address management, service message, device interconnection, problem and suggestion, help and customer service, and product operation and maintenance.

5.2 Functions

Note: The following "User Center" and "Cloud Space" services will be enabled only when you log in from the nubia terminal. If you only purchase the nubia cloud, the following contents are not applicable to you.

5.2.1 User Center

You understand that if you register a Nubia account on a Nubia terminal, you will also become a Nubia member.

If you log in to a Nubia terminal by using an existing Nubia account and you have not become a member previously, you will become a Nubia member at the same time and enjoy membership rights.

In order to provide you with exclusive rights or benefits corresponding to your membership level, you agree and authorize that when you use your Nubia account to log in to a Nubia product or service, we may match the membership level information of your Nubia account to the product or service.

You can access User Center software to access, manage, and use related services, including growth systems, benefits, points, communities, and other services.

The user has the right to use the account and the points and medals of the account that the user legally obtains. If you violate this agreement or the provisions related to the rights, the user has the right to withdraw the related rights without your consent.

User growth system

The "User Center" provides users with a growth system that includes levels and medals. By binding a nubia device to a nubia account, you can obtain a medal, upgrade, or other form of reward by participating in an activity or completing a task.

Membership rights

Exclusive benefits corresponding to your current level are available in the User Center, and high-value benefits and benefits are available for collection and redemption in the Benefit section.

Score

You can view your points balance and details in User Center and learn more about how to earn and use points.

5.2.2 Cloud space

If you log in to your Nubia account from a terminal that provides the cloud space service, the cloud space is automatically enabled.

Cloud Spaces gives you secure, trusted digital asset management. With this service, you can store photos, videos, contacts, notes, and more in the cloud. Before using this service, you must register your Nubia account. You can turn off or partially turn off the Cloud Space feature. “Cloud Space "once enabled, your data is automatically stored on our servers.

You understand that your data is encrypted and stored in the "cloud space", and you can only view or manage it on the end devices that provide the "cloud space" service and the "cloud space" website (yun.nubia.com).

Cloud synchronization

When Cloud Space is enabled, you can store app data, such as photos, videos, contacts, memos, calendars, notes, and more, in apps that support this service to Cloud Space. If you add, modify, or delete data in each application (not all, depending on the actual situation of the application), the data will be automatically uploaded to the cloud space and pushed to all other devices that log in to the same account and enable the cloud application. The data on this device will be overwritten. The scope of applications that use the cloud may change with service release updates, and to ensure that your data is stored securely in the "cloud space" in a timely manner, you understand and agree that we will automatically enable it for you. You can close the Applications on the Cloud at any time or in part, and when closed, will stop data uploads and updates for that application on this device.

You understand that the data stored in the "Cloud Space" through the "Applications Using the Cloud" may be different or unusable in the application due to differences in the application version or devices used, which is entirely at the discretion of the applications that support the Service, and the "Cloud Space" will hold all the data for you. (For example, the data generated by the later version of the Notes application is pushed to the earlier version of the Notes application through the Usage Cloud application. Some data may not be displayed or used properly because the later version of the Notes application does not identify the data, which is completely determined by the Notes application. )

You understand and agree that there may be a maximum amount of data uploaded through "Apps for the Cloud" before uploading can continue even if your cloud storage is not full (including but not limited to contacts, memos, calendars, notes).

Searching for a Device

Discover Devices is automatically enabled when Cloud Space is enabled. When Find Device is enabled, you can locate, ring, lock, and wipe the device and its supporting accessories (depending on all or part of the device or accessory type support). To secure your device, you'll need to enter your account password again when you turn off Find a Device, wipe, or reactivate your device. To provide the Lookup Service, you understand and agree that we collect, use and transmit your location information. You can revoke consent at any time by turning off Find Device or Location Services.

Before you use post-sales support services such as warranties, returns, and replacements, turn off Find Device in advance, or you may not be able to use post-sales support services or affect your service experience. We will use our best efforts to provide this Service to you, but will not guarantee the accuracy, completeness, or timeliness of your location information, and shall not rely on this Service when you require accurate location information. We are also not responsible for failing to retrieve the device for you, the device being maliciously compromised, or the device losing data.

Purchasing a Cloud Space

After registering the Nubia account and logging in to the terminals (including mobile phones, tablets, and computers) that provide the cloud space service, your account will be allocated with 5 GB storage space.

You can take advantage of Cloud Space membership by purchasing a storage plan. When the purchase is complete, you will be upgraded to the new storage plan. The remaining validity period of the current package is converted into the validity period of the new package. Please note that you will not be able to request a reduction in purchased storage except for having the option to "revoke your purchase".

You expressly accept and agree that Nubia reserves the right to irregularly adjust the purchase price of this service and will inform you of the price adjustment details in advance. Once the new price is in effect, you will need to accept the new adjusted price in order to continue using the Cloud Space package, and the services you purchased prior to the price adjustment will not be affected.

You understand and agree that you will continue to use the Service within thirty (30) days of expiration by purchasing sufficient storage space or by removing such data from your own capacity for reasons other than renewal of the Service. If you fail to do so in a timely manner within the above reasonable period, to ensure fair use by other users, we reserve the right to disable services such as "cloud synchronization" and "using cloud applications" and delete your cloud data until the used space does not exceed the upper limit of storage space. Therefore, you shall bear the loss.

5.3 More Functions

With your consent, we will provide you with the following features and information.

Logging In to a Third-Party Service

You can use your Nubia account to log in to a third-party service provider. After obtaining your consent, the third-party service provider can obtain your authorized Nubia account information (such as your icon and nickname). In addition, some third-party service providers integrate the Nubia shortcut login capability.

You can also use a third-party account to log in to a nubia account, such as QQ, Weibo, and WeChat.

6 Third-Party Services

If you log in to a third-party service by using your Nubia account, we recommend that you read the tripartite agreement and third-party privacy policy carefully. Nubia reserves no right or obligation to control or review the contents of products or services provided by third-party service providers. You shall not be liable for any infringement of your rights or interests in using such third-party products or services. Nubia is not responsible for the contents or availability of any third party products or services, and does not make any form of commitment, guarantee, or warranty for any content, advertisements, products, services, or other information provided by any third party in this service. If you do not comply with tripartite agreement, a third party may take legal action against you.

Any dispute arising from the download and use of third party products and services through this Service shall be resolved by third party suppliers, and Nubia shall not be liable for such dispute. Nubia does not provide any customer support for third-party products or services. If you need support, contact a third-party vendor.

7 Purchase

Some of the services in this Service are offered for a fee, subject to the terms of your use of the fee-based service.

You agree that the Provider of the Paid Services reserves the right to adjust the Purchase Price and to notify you of the details of the Price Adjustment within a reasonable time prior to the Purchase Action. Once the new price is in effect, you will need to accept the new adjusted price before you can continue to purchase the associated goods or services, and the products and services you purchased prior to the price adjustment will not be affected. If you do not accept the adjusted price, you may stop using the goods or services.

8 Account and Transaction Security

You shall register your Nubia account through authentic identity authentication, and promise to properly keep your account information, account password, and related account information (including but not limited to device information, order information, and operation records) (hereinafter referred to as "account information"). You are not allowed to share such information with anyone. We recommend that you select a highly secure password and take appropriate measures to protect your account information and password. If you provide the above information to a third party or lose a device such as a mobile phone, you shall be liable for any loss or liability arising therefrom.

If you believe someone may be using your account information, you should inform us immediately through the Contact Us section. You should also change the password immediately. You may not use another person's Nubia account to access this Service. You shall take appropriate measures to protect your account information from unauthorized use by third parties.

If you lose your Nubia account due to personal reasons, you need to retrieve the Nubia account information in accordance with the Nubia account appeal process. Whether the appeal is successful depends on whether the information provided by you is valid and complete.

9 Usage Rules

You undertake and agree to legally access and use the Service in accordance with this Agreement. You understand and agree that you may not use the Service to transmit any information or otherwise engage in any activity of the following nature: False, defamatory, tort, harmful, pornographic, offensive, libelous, harassing, scandalous, hates, incitement, threat, profanity, obscene, infringement of privacy or otherwise objectionable, including, without limitation, facilitating illegal activities, explicit description, publicity of violence, and any discriminatory, illegal, civil or criminal liability -related information or conduct (including, without limitation, any information that you are not authorized to post or transmit, or that such posting or transmission violates any obligations of secrecy and/or third party intellectual property rights).

Except as expressly provided in this Agreement or as permitted by applicable law, you agree and promise that you will not:

(a) Remove any copyright, trademark or other proprietary notices contained in this Service;

(b) Copy or alter all or part of the Services, or permit the Services or any part thereof to be combined with or incorporated into any other program;

(d) Decompose, decode or reverse develop the Service or any portion thereof, or create derivative works based on the Service or any portion thereof, or attempt to engage in similar activities prohibited by applicable law;

(e) Distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, broadcast, disseminate or otherwise use the Service;

(f) Submitting or otherwise providing all or part of this Service (including the subject matter and source code) to any person in any form without the prior written permission of Nubia;

(g) Masquerading as someone else, masquerading as, or otherwise falsifying your relationship with a person or entity;

(h) Use the Service (or any part thereof) in any unlawful form or in breach of this Agreement, or engage in any fraud or other malicious conduct for an unlawful purpose, including without limitation, intruding on the Service (or the website of the link to the Service) or any operating system or implanting malicious code, including viruses or harmful data;

(i) Access to and/or use of the Services infringes upon the intellectual property rights of Nubia or any third party;

(j) Collect the information of the users of this service, or use automatic means to access this service or Nubia system, or attempt to input or extract any content from the server on which this service is running.

(k) Develop, support, or use software, equipment, scripts, or any other means or processes (including crawler software, browser plug-ins, or any other technical or man-made work) to capture the Service or otherwise copy User Information and other data from the Service;

(l) Using the Service for commercial purposes without prior written permission of Nubia;

(m) Use the Service for any illegal business transactions, such as the sale of arms, drugs, illegal goods, pirated software, or other prohibited items;

(n) Providing gambling information or using any means to tempt others to gamble;

(o) Request others' login information or access their accounts.

(p) Participates in money laundering, cash hedging, or marketing activities.

(q) Using the Service to damage, disable, impair, or threaten the Service, Nubia System, or its security, or to overload or interfere with other users' or any other party's computer system, intrude upon the Service or Nubia content (as defined below) or data;

(r) Attempt to violate this Agreement (or any part thereof), or promote or encourage such acts.

10 Using Nubia Contents

Except as expressly provided in this Agreement or otherwise provided by applicable law, Nubia and/or Nubia's licensors reserve all rights with respect to all information obtained under or through this Service, including, without limitation, text, video and audio, pictures, icons, applications, designs, software, scripts, programs, copyrights, trademarks, trade names, logos and other materials and services, and the appearance and experience of the foregoing (collectively, "Nubia Content"). Except as otherwise provided herein, your access to and/or use of this Service does not constitute a transfer of any title or other right to you or any other person.

You may not alter, copy, extract, revise or add nubia content in any way, or sell, copy, distribute, license or abuse nubia content. If you need to re-publish, extract, reproduce, distribute, or otherwise use any Nubia content, you must contact Nubia in advance and obtain the prior written consent of Nubia, except as expressly described in this Agreement. This does not affect any rights you have under applicable enforcement laws.

If you believe that the Service or any part thereof infringes any copyright, trademark, patent, trade secret, or other intellectual property rights, or you have other questions about the Service, please let us know by referring to the Contact Us section.

11 Your Content

You retain ownership of Your Content with respect to text, files, images, photographs, or other information that You upload, post, and otherwise transmit to or through the Service (collectively, "Your Content"); You are solely responsible for your content.

12 Management of the Service

You understand that, subject to applicable laws and regulations, we have the right to take the steps necessary to ensure compliance with this Agreement and applicable laws, or the orders or requirements of courts, political orders, administrative authorities, or other government authorities, for the purposes of operating and improving this Service, including, but not limited to, fraud prevention, risk assessment, investigation, and customer support.

We have the right to review your content at any time for suitability or compliance with this Agreement. We have the right to refuse and/or remove your content at any time and at our discretion, without prior notice, if we find that the content you submitted is illegal or undesirable, violates this Agreement, or is inconsistent with public order. We also have the right to refuse to register your account.

The illegal contents include but are not limited to:

(1) Object to the basic principles defined in the Constitution;

(2) Endangering national security, divulging state secrets, subverting state power, or undermining national unity;

(3) Harming national honor and interests;

(4) Incite ethnic hates or discrimination, or undermine ethnic unity;

(5) Destroy the religious policies of the state and promote evil cults and feudal superstition;

(6) Spread rumors, disrupt social order and social stability;

(7) Spread obscenity, pornography, gambling, violence, hominates, terror, or instigation crimes;

(8) Insult or slander others or violate others' legitimate rights and interests;

(9) Other contents prohibited by laws and administrative regulations.

If the content you upload, publish, or transmit contains information or content that violates the above laws and regulations, or infringes the legal rights (including but not limited to patent rights, trademark rights, copyright, portrait rights, privacy rights, and reputation rights) of any third party, you shall directly bear all the adverse consequences caused by the above. We take responsibility only as expressly provided by law. If any adverse effect is caused to us, you are responsible for eliminating the impact and indemnifying us for all losses incurred as a result of that, including but not limited to property damages, reputation damages, attorneys' fees, transportation expenses, and other reasonable costs incurred as a result of rights maintenance or as required by all other platforms.

We have no control over the content delivered through the Service or the full control of User's use, and you, in your sole discretion, assume the risk of any material downloaded or otherwise obtained by accessing the Service.

In any of the following cases, Nubia has the right to restrict, freeze, or terminate your use of the Nubia account at any time, and decide whether to resume your use of the Nubia account based on the actual situation:

(1) Nubia accounts not obtained through software or services provided or expressly licensed by Nubia;

(2) Nubia account obtained through fraud

(3) Nubia account obtained through malicious registration

(4) Use a nubia account that is not your registered account.

(5) Unless otherwise stipulated by law, grant, borrow, lease, transfer, sell or otherwise license others to use your own Nubia account;

(6) Nubia account registered and obtained for illegal purposes

If you obtain and use your Nubia account through the above methods, you shall bear your own legal responsibilities and losses (including but not limited to communication interruption, clearance of virtual property and related data, value-added services, products or services, or failure to use them). In addition, Nubia reserves the right to pursue your legal responsibilities.

13 Privacy and Data Collection

We value your personal information and privacy. You understand and agree that, in the course of your use of this Service, we will process your personal information in accordance with the Notice Regarding Nubia Account and Privacy (hereinafter referred to as the "Privacy Notice") for the purposes necessary to provide this Service or upon your consent. Therefore, you need to read the Privacy Statement carefully to learn about the purposes and methods of processing personal information, the types of personal information to be processed, the retention period, the methods and procedures for exercising user rights, and the measures taken by Nubia to protect your personal information.

We will use a variety of security technologies and procedures to establish sound regulations to protect your personal information from unauthorized access, use, or disclosure. We will not disclose your personal information to any companies, organizations, or individuals other than us without your consent, unless otherwise required by laws and regulations.

14 Disclaimer

This Service is for your personal use only and may not be provided to any third party. You agree that Nubia and Nubia's affiliates, principals, directors, employees, contractors, agents, third party payment service providers, partners, licensors and distributors (collectively, "Nubia") shall not be liable for any loss resulting from unauthorized use of the Services.

This Service may be interrupted, delayed, or disturbed during unknown periods of time due to uncontrollable causes. You agree that Nubia shall not be liable for any claim arising from or in connection with such interruption, delay, interference or similar fault.

We will use our best efforts to ensure the security and reliability of the information and data involved in this Service. However, subject to the existing technologies and our limited service capabilities, to the maximum extent allowed by applicable laws, Nubia shall not be liable for any damage caused by you or any other person who cannot access or use this Service due to the following reasons:

(a) This service is suspended or terminated due to the maintenance or upgrade of the system, software, or hardware.

(b) The system or network communication that is not owned or controlled by Nubia is delayed or faulty.

(c) Service interruption caused by force majeure such as typhoon, earthquake, power outage, flood, war, and terrorist attacks.

(d) The service is stopped because the virtual digital goods and value-added service provider or operator stops the operation.

(e) This service cannot operate properly due to a third-party payment channel fault.

(f) Errors or disruptions due to hacking or similar security implications;

(g) Other reasons beyond Nubia's reasonable control.

This Service is provided "AS IS" and "AS IS" without commitment, warranty, or warranty of any kind. To the fullest extent allowed by applicable law, Nubia does not acknowledge, make any warranty, promise, representation or other agreement, express or implied, with respect to:

(a) The completeness, accuracy, reliability, or timeliness of any content obtained under or through the Service;

(b) Any defects, errors, viruses, vulnerabilities, or other harmful elements in the Service or the server hosting the Service;

(d) Warranty relating to the specific functionality of the Service or to the reliability, quality or accuracy of any information obtained by you in using or accessing the Service;

(e) Whether this service is secure.

(f) Is the Service reliable, high quality, accurate, available or capable of meeting your needs, producing or achieving certain results or outcomes. Nubia shall not be liable for any loss or damage caused by any reliance on, use of, or interpretation of this Service, in whole or in part, or the access and/or use of the information obtained through this Service by you (or any other person).

The laws of some countries do not allow certain warranties, guarantees, or liabilities to be excluded or limited from the contract. If these laws apply to you, the foregoing exclusions or restrictions may not apply in whole or in part. Nothing in this Agreement affects your statutory rights as a consumer.

15 Terminated by you

You may terminate this Agreement by deregistering your Nubia account. You can select to stop using the corresponding service through the account logout and cloud space deactivate cloud space options.

If you choose to log out of your account, you need to log in successfully first. Please read the following matters carefully:

(a) After the account is deregistered, all data stored in your account and the cloud space (including the user content generated by your account) is deleted.

(b) After your account is deregistered, you will voluntarily abandon all benefits under your account, such as points and medals, and you cannot recover them.

(c) After the account is canceled, Nubia will not keep any data, files, or stored information under your account. At the same time, content and messages you send to other users may not be recoverable.

(d) After account cancellation, you are not exempt from the obligation to pay any fees that (inclusive) is still liable for before the termination date, and Nubia and any third party are not liable for the consequences of your account cancellation.

16 Suspended or terminated by Nubia

We may terminate, restrict, cancel or terminate your access to this Service in whole or in part in accordance with applicable law and this Agreement without liability to any person or third party. We will make every effort to notify you before taking such action. However, we may immediately suspend, restrict, cancel or terminate your access to this Service, in whole or in part, without prior notice to you, if:

(a) You are in breach of this Agreement or Nubia considers you are in breach of this Agreement, including any agreements, policies, or guidelines contained therein;

(b) You or any person acting on your behalf engage in fraudulent or unlawful activities, or provide false or misleading information to Nubia;

(c) Respond to requests from law enforcement authorities or government agencies in accordance with valid legal procedures;

(d) Perform urgent system or hardware maintenance updates;

(e) For unexpected technical, security, or business reasons.

To make full use of nubia account resources, if you do not log in to the nubia system within three years, you have the right to terminate this account, delete all data related to this account, and recycle this account.

When you use the free services provided by the Cloud Space, to make more reasonable use of storage resources, if you do not use the Cloud Space for 36 consecutive months, Nubia reserves the right to terminate providing the Cloud Space to you and delete all content stored in the Cloud Space. We will provide you thirty (30) days' notice of termination of the Services or deletion of the Data by way of a notice provided for in the nineteenth (19) of this Agreement and freeze your Cloud Space Data. You may download your content at any time during the thirty (30) day period following your receipt of the notification by logging into the Cloud Space website (yun.nubia.com). You can also use the Nubia Cloud client software (mobile phone, tablet, and computer) to delete your content below 5 GB, so that you can continue to use the free cloud space service or purchase a cloud space member that matches your capacity. For purposes of this clause, "use" means access to, upload to, or download data from the Cloud Space.

17 Revision of this Service

Nubia has been updating, revising, and improving this service. Nubia may add or delete functions or performance of this service, set a new limit, or temporarily or permanently stop providing a service. Nubia may also amend this Agreement from time to time based on updates to this Service.

If you do not accept the modified terms, immediately discontinue use of the Service, and your continued access to or use of the Service will be deemed acceptance of the modified agreement.

If an amendment to this Agreement materially affects or materially restricts your access to or use of this Service, we will notify you within a reasonable time prior to the change. We may not be able to meet the stated timeline for this Service as amended to meet security, legal or regulatory requirements, but we will notify you as soon as possible.

18 Applicable Laws and Jurisdiction

The applicable laws of this Agreement are the laws of the People's Republic of China. You and Nubia agree that this Agreement is signed in Nanshan District, Shenzhen, Guangdong, China. If any dispute arises during the performance of this contract, both parties shall negotiate to resolve the dispute. If the negotiation fails, both parties shall settle the dispute in a lawsuit in a people's court of competent jurisdiction at the place where the agreement is signed.

19 General Terms

This Service or third parties may provide links to other websites or resources. You understand and agree that we are not responsible or liable in any way for, or for, the availability of, any content, advertisements, products or other information on, or otherwise obtained from, such external websites or resources. We are not liable for any damage or loss that you use or rely on any content, goods or services obtained under or through any such websites or resources, or that we claim to be caused by or in connection with such content, goods or services.

Nothing in this Agreement shall be deemed to establish any cooperation or agency relationship between you and Nubia. Neither party shall be entitled to generate any liability or cost in the name of or on behalf of the other party, or enter into any contract or other provision thereof.

Nubia shall not be liable for any failure or delay in performing its obligations under this Agreement or this Service Conditions due to events outside the reasonable control of Nubia.

You may not assign or otherwise transfer any of your rights or obligations under this Agreement without our prior written permission. Any unlicensed assignment or transfer will be void. In case of business upgrading or changes in the operating entity, Nubia has the right to assign, subcontract, or replace the rights and obligations of Nubia under this Agreement.

If any provision of this Agreement is deemed invalid, invalid or unenforceable by a court of competent jurisdiction or any other competent authority, such provision shall be deemed deleted from this Agreement, but any other provision shall remain legally binding.
